Terms of Service

1. Contracting Party and Scope

Rally is a system tool provided by InCosmos KK ("we," "us," or "our"). Our place of business is Osaka, Japan, and our contact email is [email protected].

These Terms apply to everything you do using this tool through the Rally website. By registering an account, starting a game, or joining a game, you confirm that you have read and accepted these Terms. If you do not accept these Terms, please stop using Rally.

2. What Service We Provide

Rally is an information tool for arranging and organizing games. You can use it to start a game, set the time and headcount, invite others to join, manage the registration and waitlist rosters, and keep cost-splitting bookkeeping after the game ends.

What we provide is the tool itself — not a sporting activity, not a venue service, and not an intermediary or matchmaking service. We do not organize games, do not participate in games, do not screen or vet users, and do not intervene in arrangements between users. The content, accuracy, and actual execution of a game are the sole responsibility of the organizer who started it and the participants who join it.

Rally is not a venue operator, not a ticketing platform, and not a payment institution. We do not sell venue space, do not hold venue inventory, do not set venue prices, do not collect any funds on anyone's behalf, and do not provide an account balance, top-up, or withdrawal function.

3. Account and Login

The Rally website signs you in through your Apple or Google account. The first time you sign in successfully, we create a Rally player account for you; on later sign-ins, you go straight into your existing account. We treat the account identifier returned by Apple or Google and verified by our server as your identity, and we will not merge two accounts merely because they share the same email address.

You are responsible for actions taken through your account and for keeping your Apple or Google account secure. The nickname and profile information you provide must not impersonate anyone else and must not contain unlawful content or content that infringes on others' rights.

You can sign out at any time from the "Me" page. After signing out, we invalidate the login credential that was issued on that browser.

4. Games, Registration, and the Waitlist

Games are started by organizers. The organizer is responsible for the accuracy of the game's information, including the sport, time, location, estimated cost, minimum/maximum headcount, registration deadline, and any gender- or skill-level-based conditions for joining.

By registering for a game, you agree to accept the rules that have been published for that game. Where a game sets gender or skill-level conditions, please register with accurate profile information. Once registration exceeds the maximum headcount, further registrations go onto a waitlist and move up in order, one at a time, as others withdraw.

Once the minimum headcount is reached, the organizer may confirm the game; a game that has not reached the minimum headcount by the deadline is automatically cancelled. A game being confirmed within Rally does not mean the venue has actually been booked — venue booking is governed by the venue's own order or the venue system's actual order record.

5. Venue Information and Third-Party Venue Systems

Venue information in Rally comes from map-service place search results, or is entered by the game's organizer. This information is provided only to describe where the game takes place; it does not mean the venue is currently bookable, has availability, or that the price shown is accurate.

Venue inventory, pricing, booking, payment collection, and fulfillment are handled by the venue or the venue system it uses (for example, VenueOS), and are outside the scope of Rally's service. Your booking relationship with the venue, and any refund/change rules or disputes, are governed by the venue's own rules.

6. Fees, Cost-Splitting, and Cancellation

The organizer pays the venue for the venue fee. Participants split the cost based on actual attendance, and payment is collected and made outside of Rally — for example, on site or by transfer via a payment QR code. Rally only displays the per-person amount and paid/unpaid bookkeeping markers; we do not participate in the movement of funds and take no responsibility for the collection or refund of split costs.

If a game is cancelled, any cancellation fee calculated under the venue's cancellation policy is borne by the organizer. We do not promise that a cancellation fee is automatically waived just because the game did not form.

The costs shown in Rally are amounts entered or estimated by the organizer; the amount actually charged by the venue controls.

7. Code of Conduct

While using Rally, you must not post fake games, hold spots in bad faith, or repeatedly and without cause fail to show up; you must not harass, abuse, or discriminate against other users; you must not post unlawful content or content that infringes on others' rights; and you must not scrape the service in bulk or interfere with its normal operation through automated means.

If you violate these Terms, we may restrict or terminate your use of Rally and handle the related content and account in accordance with applicable law.

8. Sporting Risk and Offline Activity

Sport carries an inherent risk of injury, including sprains, fractures, and collision injuries. By voluntarily joining a game, you confirm that you understand and assume these risks yourself, and that you will decide whether to participate and whether to obtain insurance based on your own health condition. If you have a health condition unsuited to physical activity, please consult a doctor first.

Games are offline activities that users organize among themselves. We do not organize, lead, attend, or supervise them, and we make no review or guarantee of any kind regarding participants' identity, age, skill level, health condition, or conduct.

Personal injury, property loss, cost disputes, or other disagreements arising during offline activity are to be resolved directly between the parties involved, in accordance with law. To the extent permitted by law, you agree not to assert a claim for compensation or other liability against us in connection with such matters.

9. Service Provided "As Is"

Rally is provided as it currently stands. We may adjust, suspend, or discontinue some or all functionality, and the service may be interrupted due to maintenance, upgrades, third-party service failures, or force majeure. We will make reasonable efforts to keep the service available, but to the extent permitted by law we make no warranty of any kind, express or implied, including no warranty that the service will be uninterrupted or error-free, or that data will not be lost due to a failure.

Game information, venue information, and amounts submitted by users are entered by users themselves; we are not responsible for their accuracy, lawfulness, or feasibility. Please verify such information yourself before joining or paying.

10. Limitation of Liability

To the maximum extent permitted by law, we are not liable for: game arrangements, team-forming, payments made or collected, or other dealings between users; services provided by a venue or its systems; third-party services such as maps or login; inaccurate information submitted by users; or indirect losses, lost profits, or data loss you incur from using or being unable to use Rally.

To the maximum extent permitted by law, our total liability under these Terms is capped at the amount you actually paid us to use Rally in the twelve months before the dispute arose; Rally currently does not charge users, so that cap is zero.

This clause does not exclude or limit liability that cannot be excluded under applicable law, including liability we would otherwise bear by law for our intentional misconduct or gross negligence. If any limitation is invalid under applicable law, the rest of this clause remains in effect.

11. User Indemnification

If your breach of these Terms, your violation of law, or a game you started or joined gives rise to a third-party claim, complaint, or administrative investigation that causes us loss or expense (including reasonable attorneys' fees), you shall, to the extent permitted by law, indemnify us for that loss and expense.

12. Governing Law and Dispute Resolution

The formation, validity, interpretation, and dispute resolution of these Terms are governed by the laws of Japan, without excluding any mandatory consumer protections you are entitled to under the law of your habitual residence.

Disputes arising from these Terms or your use of Rally shall first be resolved through friendly negotiation between the parties; if negotiation fails, the dispute shall be submitted to a court with jurisdiction over our principal place of business.

13. Updates to These Terms and Contact Us

We may revise these Terms. The revised version takes effect immediately upon posting on this page, and the top of this page will show the most recent update date. If you continue using Rally after an update, you are deemed to accept the revised Terms.
